A secure technology bridge through divestment
A multinational energy company required IT support during the transfer of a major refining operation in the US to another corporation.
It was a complex separation, which meant a Transitional Services Agreement was needed to enable the secure transfer without disrupting operations.
What we did
prosource.it managed the whole programme from initial planning through change in control and the subsequent exit from a time-limited Transitional Services Agreement (TSA).
Working closely with the buyer and seller, we established guiding principles and processes for transferring data, applications, licences and hardware. This was an important first step to make sure the project flowed smoothly for everyone involved.
Our role covered programme and project management for the divestment as well as providing the onsite technical resources needed to implement it.
Because we were working through a TSA, we needed to create an isolated shared environment for the refinery.
The technology solution for the TSA provided a way to give everyone access to what they needed, but no more. The buyer had tightly controlled access to an agreed set of global applications, with access restricted to refinery-specific data. New Microsoft 365 licences, security groups and VPN profiles prevented users from accessing information elsewhere on the seller’s corporate network.
To meet the seller’s digital security requirements, our teams securely wiped and refreshed end-user devices, servers, network equipment and storage devices.
Our extensive design, testing and preparation before completion enabled a near-immediate transfer from seller to buyer. Devices were distributed onsite in advance, helping users transition quickly once control changed.
Throughout the programme, we coordinated communications. This was important because the programme involved multiple locations and stakeholder groups, including headquarters, technology teams and people working at the refinery.
Results
The IT transition was successfully completed while maintaining safe refinery operations and limiting disruption during the change in control.
The new access model immediately reduced the seller’s licensing costs by over $300,000 while maintaining the controlled access required under the TSA.
The TSA was adapted as the buyer’s requirements developed and was implemented and closed within the agreed timeframe.
Following the project, the client wrote to thank the prosource.it team, recognising the significant effort involved and noting that we had gone above and beyond to help ensure the transaction’s successful completion.
